Welcome to TutorBoard. These Terms of Service ("Terms") govern your access to and use of TutorBoard's website, platform, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using TutorBoard, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

TutorBoard provides an online collaborative learning platform that enables tutors and students to:

  • Create and participate in real-time tutoring sessions
  • Use shared whiteboards, documents, and worksheets
  • Communicate via video chat and messaging
  • Share screens and collaborate on educational content

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 13 years old to create an account. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service. Users under 13 may not create accounts without verifiable parental consent.

By using the Service, you grant TutorBoard a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to your User Content and that it does not violate any laws or infringe upon any third-party rights. We reserve the right to remove any User Content that violates these Terms.

6. Payment Terms

6.1 Subscription Plans

Some features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your subscription
  • Automatic renewal of your subscription unless cancelled
  • Price changes with 30 days' notice

6.2 Refunds

Refund policies vary by subscription plan. Generally, we offer a 30-day money-back guarantee for new subscriptions. Refund requests must be submitted within 30 days of the initial purchase. Refunds for partial subscription periods are not available unless required by law.

7. Intellectual Property

The Service, including its design, features, and functionality, is owned by TutorBoard and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or attempt to extract source code
  • Use our trademarks or logos without permission
  • Remove any copyright or proprietary notices

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

9. Service Availability

While we strive to provide reliable service, we do not guarantee that the Service will be available at all times or free from errors, interruptions, or security issues. We reserve the right to perform maintenance, updates, or modifications that may temporarily affect service availability.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your access to the Service will cease, and we may delete your account and User Content in accordance with our data retention policies.

10.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary. We are not obligated to provide notice or explanation for account termination.

11. Disclaimers and Limitation of Liability

11.1 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11.2 Limitation of Liability

To the maximum extent permitted by law, TutorBoard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless TutorBoard and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

  • Informal Resolution: First, contact us to attempt to resolve the dispute informally
  • Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association
  • Class Action Waiver: You agree not to participate in class action lawsuits against TutorBoard

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco, California.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
